Terms of Service

Welcome to Growing Grounds. These Terms of Service (the 'Terms') form a legally binding agreement between you and Growing Grounds LLC ('Growing Grounds', 'we', 'us', or 'our') and govern your access to and use of the Growing Grounds platform, websites, mobile experiences, and related services (collectively, the 'Services'). Please read these Terms carefully. By creating an account, accessing, or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Services.

1. Acceptance of These Terms

By accessing or using the Services, you confirm that you can form a binding contract with Growing Grounds and that you accept these Terms on behalf of yourself and, where applicable, the parent-teacher organization, booster club, school, district, or other group you represent (each, an 'Organization'). If you are using the Services on behalf of an Organization, you represent that you are authorized to bind that Organization to these Terms.

2. Definitions

  • Organization means a PTO, PTA, booster club, school, district, committee, classroom, household, or similar group that uses the Services.
  • Member means a registered user who participates in an Organization, including parents, guardians, teachers, volunteers, and administrators.
  • Content means any text, images, files, event details, rosters, messages, and other materials submitted to or generated through the Services.
  • Platform Administrator means a user with elevated permissions to manage an Organization or the Services.

3. Eligibility and Account Registration

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and administer an Organization. Accounts involving minors may only be created and managed by a parent, legal guardian, or authorized school official in accordance with applicable law. When you register, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for all activity that occurs under your account.

4. Description of the Services

Growing Grounds provides tools that help Organizations operate, including event creation and registration, fundraising campaigns and donations, an online store and ticketing, member and household directories, classroom and committee rosters, volunteer coordination, communications and announcements, and reporting and analytics. We may add, change, or remove features at any time. Some features depend on configuration choices made by your Organization.

5. Account Security and Your Responsibilities

You are responsible for safeguarding your login credentials and for any use of your account. Notify us immediately at support@growinggrounds.io if you suspect unauthorized access. You agree not to share your credentials and to use the Services in compliance with these Terms, all applicable laws, and your Organization or school policies.

6. Organization Administration and Roles

The Services use roles and permissions to determine what each Member can see and do within an Organization. Platform Administrators are responsible for assigning roles appropriately, managing membership, and ensuring that the Organization complies with its own governing rules and with applicable law. Growing Grounds is not responsible for decisions made by an Organization or its administrators, including how they manage members, funds, or data.

7. Payments, Fees, Donations, and Refunds

Payments, donations, ticket purchases, and store transactions are processed through our third-party payment processor, Stripe. By making or accepting payments through the Services, you also agree to Stripe's terms. Growing Grounds or your Organization may charge platform, processing, or service fees, which will be disclosed at the time of the transaction. Your Organization sets the price of its products, tickets, and campaigns and is responsible for delivering any goods, services, or benefits offered. Refund, cancellation, and tax obligations are determined by your Organization and applicable law; Growing Grounds does not control and is not responsible for them. You are responsible for any chargebacks or disputes related to transactions you initiate.

8. User Content and License

You and your Organization retain ownership of the Content you submit. By submitting Content, you grant Growing Grounds a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit that Content solely to operate, provide, secure, and improve the Services. You represent that you have the rights necessary to submit the Content and that it does not violate any law or third-party right.

9. Acceptable Use Policy

You agree not to: (a) use the Services for any unlawful, fraudulent, or harmful purpose; (b) upload viruses or malicious code; (c) attempt to gain unauthorized access to the Services or other accounts; (d) harass, abuse, or harm another person; (e) misuse personal information, including the data of children or students; (f) send spam or unsolicited communications; or (g) interfere with or disrupt the integrity or performance of the Services.

10. Intellectual Property

The Services, including their software, design, text, graphics, and trademarks, are owned by Growing Grounds or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services as permitted by these Terms, no rights are granted to you. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Services without our prior written consent.

11. Third-Party Services

The Services integrate with third-party providers, such as Stripe for payments and Google for single sign-on. Your use of those services is governed by their own terms and privacy policies. Growing Grounds is not responsible for third-party services and does not endorse them.

12. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Because the Services support schools and families, please review the section of the Privacy Policy addressing children and student data.

13. Children and Student Data

The Services are designed for use by adults who administer and participate in school-affiliated Organizations. Information about children and students may be entered by parents, guardians, or authorized school officials. If you submit information about a child or student, you represent that you are authorized to do so and that you have provided any consent required by law. Schools and Organizations are responsible for complying with the Family Educational Rights and Privacy Act (FERPA), the Children's Online Privacy Protection Act (COPPA), and other applicable laws. 14. Disclaimers

The Services are provided on an 'as is' and 'as available' basis without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Growing Grounds does not warrant that the Services will be uninterrupted, secure, or error-free, or that any Content is accurate or reliable.

15. Limitation of Liability

To the fullest extent permitted by law, Growing Grounds and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of the amount you paid to Growing Grounds in the twelve months before the claim or one hundred U.S. dollars.

16. Indemnification

You agree to indemnify and hold harmless Growing Grounds from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

17. Term and Termination

These Terms remain in effect while you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Services or other users. Upon termination, your right to use the Services ends. Some provisions, by their nature, survive termination, including ownership, disclaimers, limitation of liability, and dispute resolution.

18. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts. Where permitted, you and Growing Grounds agree to first attempt to resolve any dispute informally by contacting support@growinggrounds.io.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means and update the Effective Date above. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.

20. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Growing Grounds regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
